Systex to Acquire Stake in Newebinfo for NT$180 Million

Systex Corporation announced its board’s approval for the public acquisition of equity in emerging software manufacturer Newebinfo. The purchase price is set at NT$72 per share, with plans to acquire up to 2.5 million shares, approximately 20.4% of Newebinfo’s equity, and a minimum of 1.9 million shares, or about 15.5%. Should the maximum shares be acquired, the total cash consideration will amount to NT$180 million.

Currently, Systex and Systex Group collectively hold about 32.4% of Newebinfo’s equity. Post-acquisition, their combined holdings will increase to between 47.9% and 52.8%, positioning Systex as the largest shareholder of Newebinfo.

Both companies operate within the information service industry, and this acquisition is intended to strengthen their existing business cooperation. Systex plans to leverage complementary resources and synergies to expand operations and enhance market competitiveness. The acquisition is expected to foster deeper collaboration, benefiting shareholders and employees of both entities.

Newebinfo specializes in system integration, focusing on large-scale core system planning and construction. It provides professional system integration services across various operating platforms, including UNIX, NT, AIX, and Linux. Newebinfo’s offerings include integration, cloud services, big data, and AI hardware infrastructure, covering planning, construction, maintenance, and operation of systems such as databases, storage, backup, and network security.

Systex’s strategic move aims to consolidate its position in the information service industry, capitalizing on Newebinfo’s expertise to enhance its market presence and operational scale.
