CyberStep Inc., a Tokyo-listed online game developer, agreed to acquire a home nursing service and a telemarketing firm as the struggling company pivots away from its core entertainment business.

The firm signed basic agreements to buy Aria Co. and 3rd Co., CyberStep said in a statement Thursday. Both acquisitions were arranged through an introduction from the company’s top shareholder, CD One LLC.

Aria operates home care and visiting nurse services with ¥230 million ($1.5 million) in sales for the fiscal year ended July 2025, though the company reported an operating loss of ¥276 million and negative equity of ¥436 million. Telemarketing operator 3rd posted ¥312 million in revenue and ¥15 million in operating profit for the period ended March 2025.

CyberStep, whose shares have fallen 55% over the past year, plans to transform into a holding company by December 1 and pursue mergers to fuel growth. The company said it aims to apply gaming expertise in user-friendly interface design to disaster preparedness systems for elderly care clients.

Final contracts are expected by late October, with acquisitions closing in November. The deals will be funded through borrowing, though specific terms weren’t disclosed. CyberStep cautioned that negotiations remain preliminary and could still collapse.
