Sega Sammy Holdings Inc. announced its decision to acquire Stakelogic, a Netherlands-based B2B iGaming content supplier, through its subsidiary Sega Sammy Creation (SSC). The agreement with Stakelogic’s shareholders marks a significant strategic move for Sega Sammy as it aims to expand its footprint in regulated online gaming markets.
The acquisition, expected to be finalized in the first quarter of the fiscal year ending March 2026, is subject to regulatory approval in various jurisdictions and other customary preconditions. Stakelogic, known for its slot games, live table games, and hybrid gaming content, holds licenses in 17 regions and has achieved a dominant market share in the Dutch iGaming sector.
Since the establishment of iGaming legislation in the Netherlands in October 2021, Stakelogic has seen substantial growth, providing high-quality content to major operators. The company is also actively expanding its market share in major European markets like the UK and Italy with its unique hybrid games.
In 2024, Stakelogic will begin a full-scale entry into the North American market, having already secured licenses in Rhode Island, Michigan, and Pennsylvania. The company plans to gradually introduce its content across licensed regions, aligning with Sega Sammy Holdings’ strategic focus on the North American iGaming market.
In a related move, Sega Sammy signed an acquisition agreement with GAN, a US-based B2B platform operator, in November 2023. GAN’s strengths in player account management and remote gaming servers will be combined with Stakelogic’s gaming content post-acquisition. This integration is expected to enhance competitiveness and accelerate growth, positioning the combined entity as a comprehensive gaming service provider.
SSC will acquire 100% of Stakelogic’s shares, making it a wholly owned subsidiary. The acquisition is valued at an enterprise value of €130 million, with the final price subject to adjustments for Stakelogic’s interest-bearing debt and working capital.
Following the acquisition, Stakelogic will become a consolidated subsidiary of Sega Sammy Holdings. The impact on Sega Sammy’s consolidated financial results for the fiscal year ending March 2025 is expected to be minor. Any significant developments will be promptly disclosed.
